Yeah mounting it upside down would mean that it would overheat as the heat given off would just rise up back into the amp, which isn't good. And you need a few inches of air space around the amp to allow cooling unless you added forced cooling, i.e. fans.
 
It will be fine under the dash as long as you leave it some room to passively cool (although a good idea to add a fan to give some airflow).

As for mounts, you will need to make up some form of shelf/brackets for it to be secured properly.

Other considerations though:
- Make sure you mount it well away from other power sources otherwise you'll end up with alternator whine.
- Make sure you mount it well away from the hot air ducts from the dash as it will cook your amp.
- If your amp is only a passive cooled one, id add lots of fans as there is no airflow under the dash out the way.
 
I would definately think about forced cooling, as amps can get pretty hot, and so can your dash in the summer months with the sun blazing on it. Otherwise, your pretty safe, just make sure it doesn't interfeare with other things under the dash :)

TBH he probably is using it for front speakers :D Still means you can stick it in the boot though :)
 
no, I just want it there so I can tweek it to get the right sound. easy to get to. if you know what I mean?

Once you get it setup right, you shouldn't need to adjust the settings all that often :)
 
Under the seat in a cento is easy to get to, coz the seats tip right forward. We had our changer under there, you just tip the seat, and it's easy to reach.

I hope you're not wanting to adjust while driving? That would be dangerous!!
